GoPro is now an AI data centre stock, which is the sort of sentence that should make you put your beer down and check you read it right. The action camera you bought for a Bali trip in 2015 and never charged again is suddenly a play on defence and government infrastructure, and the market could not get enough of it. I reckon that framing fits because GoPro has been telling us, in the driest possible language, that the old model is rooted. The latest quarterly report was flagged as “GoPro warns on going concern amid deeper losses | GPRO Quarterly Report (10-Q)“.5 When a consumer electronics brand is warning about its ability to keep going, a merger that recapitalises it and keeps the Nasdaq ticker warm is not a strategy, it is a lifeline. Starman, by contrast, is a private optical outfit fronted by Charlie Tebele and structured as Starman Holding, with a 100,000 sq ft facility in Warren that is still described as a renovation.6 It gets to skip the IPO queue, the roadshow, the S-1 and the year of being told by bankers to lower its price. GoPro gets cash and a story that is not about selling more Hero cameras into a phone world that ate its lunch.

There is a pushback, and it is worth taking seriously. The press release is careful to say almost nothing about what happens to the camera business after close, and that silence matters. If that business keeps generating the bulk of the dollars next year, then this is not just a shell sale with an AI sticker slapped on it. It is a conglomerate with a legacy division still paying the bills. Sentiment is pointing the other way though. YouTuber Markiplier, who with 13.5 million shares is suddenly one of GoPro’s most visible holders, said he is “Genuinely Sad” about the merger, and the sadness only makes sense if people who love the brand think the brand is being sidelined.7 That is sentiment, not a filing, and I am not going to pretend it proves disposal. But it is a useful tell about how the story is being heard outside the deal deck: not as GoPro expanding into optics, but as GoPro being turned into a vehicle for optics.

So is this just rebranding for a failing camera company. I think mostly yes, and the market action is the clue that should worry you, not reassure you. A cash deal that gets priced above its cash price, a Nasdaq ticker that doubles as a product, a pre-revenue facility that becomes an AI infrastructure narrative overnight: I have watched this mob and a few others run this exact play when growth stalls. Sometimes the new business works. More often the listing is the product. If GoPro is still mostly a camera company in twelve months, I will happily say I misread it and that the merger was additive, not substitutive. On what we have in front of us, with a going concern warning on one side and a “remain listed on Nasdaq” promise on the other, the simplest explanation is the right one. This lot bought a door to the public market and are painting it matte black with AI on the lintel.
